1. Definitions
1.1 'Geeks of Kolachi' refers to a software development company.
1.2 'Client' refers to the individual or entity engaging the services of Geeks of Kolachi.
1.3 'Project' refers to the software development project or any related services to be provided by Geeks of Kolachi.
1.4 'Deliverables' refers to any tangible or intangible work products, software, documentation, or other materials to be delivered by Geeks of Kolachi to the Client as part of the Project.
1.5 'Intellectual Property' encompasses patents, trademarks, copyrights, trade secrets, or any other rights related to intellectual property.
1.6 'Confidential Information' refers to any non-public, proprietary, or confidential information provided by either party to the other in connection with the Project.
2. Engagement of Services
2.1 The Client engages Geeks of Kolachi to provide software development services as outlined in the Project scope and any associated statements of work.
2.2 Geeks of Kolachi will allocate suitable resources and use reasonable efforts to complete the Project within the agreed-upon timeframe, subject to any delays or changes mutually agreed upon by both parties.
2.3 Geeks of Kolachi may engage subcontractors or third parties for the purpose of performing the services outlined in the Project.
3. Scope of Work
3.1 Geeks of Kolachi will develop the software according to the specifications and requirements agreed upon by both parties, as outlined in the Project documentation.
3.2 Any changes or modifications to the scope of work must be documented in writing and approved by both parties. Such changes may result in additional fees or adjustments to the project timeline.
3.3 Geeks of Kolachi will provide regular progress reports to the Client and seek feedback to ensure alignment with the Project objectives.
4. Payment Terms
4.1 The Client agrees to pay Geeks of Kolachi the agreed-upon fees for the Project as specified in the project proposal or statement of work.
4.2 Payment terms, including any upfront fees, milestone payments, or invoicing schedule, will be mutually agreed upon by both parties and specified in writing.
4.3 Geeks of Kolachi reserves the right to suspend or terminate services if payments are not made according to the agreed-upon terms, without prejudice to any other rights or remedies available under the law.
5. Intellectual Property
5.1 Geeks of Kolachi retains all Intellectual Property rights to any pre-existing materials or software developed independently from the Project.
5.2 Geeks of Kolachi provides the Client with a license that is non-exclusive and non-transferable to utilize the Deliverables exclusively for the Client's internal business needs unless otherwise specified in a written agreement.
5.3 The Client shall not modify, distribute, sell, sublicense, or reverse engineer the Deliverables without prior written consent from Geeks of Kolachi.
6. Confidentiality
6.1 Both parties mutually agree to consider all Confidential Information received from the other party as highly confidential.
6.2 Confidential Information may not be shared with any third parties without obtaining prior written consent from the party that disclosed the information, except when required by law.
6.3 Geeks of Kolachi may use the Client's name and logo in its marketing materials or website unless otherwise agreed in writing.
7. Warranty and Limitation of Liability
7.1 Geeks of Kolachi warrants that the Deliverables will conform to the agreed-upon specifications and requirements to the best of its abilities.
7.2 The Client understands that software development is a complex process, and Geeks of Kolachi cannot guarantee the absence of errors or that the software will be error-free.
7.3 The responsibility of Geeks of Kolachi regarding any claims arising from or associated with the Project or Deliverables will be restricted to the fees paid by the Client for the particular services rendered.
7.4 Geeks of Kolachi will not be held responsible for any indirect, incidental, consequential, or special damages arising from or in relation to the Project, including but not limited to the loss of profits, data, or business opportunities.
8. Termination
8.1 Any party has the right to end the Project or any related services by giving written notice to the other party.
8.2 In the event of termination, the Client is responsible for compensating Geeks of Kolachi for all services provided and expenses incurred up until the date of termination.
8.2 Geeks of Kolachi shall provide the Client with any Deliverables completed up to the termination date, subject to the Client's payment obligations.
9. Governing Law and Dispute Resolution
9.1 These terms and conditions will be controlled by and interpreted in line with the laws of [ Jurisdiction ].
9.2 Any disputes arising from or relating to the Project shall be resolved through good faith negotiations between the parties. If a resolution cannot be reached, the parties agree to pursue mediation or arbitration as the next step.

10. Entire Agreement

Geeks of Kolachi retains the right to modify or revise these terms and conditions without advance notice. As a customer, it is your duty to periodically review the terms and conditions when utilizing our website or services.
